A. MERGERS & ACQUISITION / CORPORATE FINANCE

• Major debt and corporate restructuring exercise for a leading Malaysian telecommunication company involving a re-negotiation and restructuring of its Euro convertible Bonds which are listed on the Luxembourg Stock Exchange (LSE), placement of equities with foreign and Malaysian investors, advice on complex Malaysian regulatory issues and transfer of listing status from the holding company in favour of the subsidiary and distribution of the shares in the subsidiary to the public shareholders as part of a capital reduction exercise.
• Debt restructuring exercise for a leading Malaysian property/construction group involving a re-negotiation and restructuring of its Euro convertible Bonds listed on the LSE and compliance with complex Malaysian and foreign regulatory issues.
• Advising on strategic alliances between a number of leading Malaysian telecommunication companies with various foreign telecommunication companies and the placement and sale of the strategic stakes and the negotiation of their respective strategic management agreements and technical assistance agreements including due diligence on technical aspects of the telecommunication business.
• A section 176 scheme of arrangement, amalgamation and reconstruction involving 2 major property-related public listed companies to give rise to a new public listed company and a new corporate group and the transfers of numerous assets and businesses between the various entities and the issuance of various securities and compliance with regulatory issues.
• Mergers and acquisition advice and due diligence for a proposed tie-up and alliance between a foreign and a major Malaysian telecommunication company with emphasis on cross-border structuring for the acquisition, voluntary general offer, compliance with the Bursa Securities (formerly, KLSE) rules, listing status on the Bursa Securities and advice on safeguarding minority shareholder rights.
• Reverse takeover exercise involving a Malaysian public listed company, investment bank, stock broking firm and a Government institution with multi-layered acquisitions, the issuance of shares and loan stocks and compliance with regulatory issues.
• Advising on compliance with Rule 144A of the US Securities Act, 1933 for a Malaysian public listed company regarding the placement and offering of its securities to US and EU investors as part of its major restructuring and revitalisation exercise.
• Advising on a major debt restructuring exercise and coordinating various foreign and domestic banks, bond holders and loan stock holders of various Malaysian public listed companies as part of a voluntary creditors scheme of arrangement and compliance with various regulatory authorities.
• Advising on proposed distribution of capital by a Malaysian public listed company and its shareholders by way of a capital distribution and compliance with regulatory authorities.
• Corporate reorganisation of business interests and companies in Malaysia, Hong Kong and China for a proposed listing on the Hong Kong Stock Exchange.
• Listing of Malaysian companies and business interests on overseas bourses (including the London Stock Exchange and the Singapore Exchange), conducting required due diligence investigations in compliance with the listing and admission rules of the overseas bourses and related issues concerning compliance with Malaysian regulatory authorities.
• Listing of various Malaysian companies on the Main Board and Second Board of the Bursa Securities (formerly, KLSE) and the MESDAQ Market.
• Listing of foreign companies on the Main Market of Bursa Securities.
• Advising on various corporate exercises undertaken by public listed companies.
• Advising on the merger of a universal broker and a niche broker to create a new investment bank under Malaysia’s Capital Markets Masterplan and related issues concerning compliance with Malaysian regulatory authorities.

B. FOREIGN INVESTMENT

• Advising on the acquisitions of Malaysian companies and business interests by foreign investors and advising on regulatory compliance in various industries including the following: food processing, banking and financial services; newsprint; telecommunications; information-technology; chemicals; building products; construction and property development and shipping.
• Advising and assisting Malaysian companies investing in the People’s Republic of China with respect to compliance with Malaysian investment guidelines and compliance with Malaysian regulatory authorities and liaising and coordinating between Malaysian clients and Chinese counsel in negotiations of the commercial agreements.
• Advising on cross-border business transactions between Malaysian and Indonesian companies on plantation and timber agreements.
• Setting up venture capital companies and advising on information technology and bio technology investments for venture capital companies and investment funds in respect of their business interests in Malaysia, Korea, Taiwan and Singapore.
• Advising on the establishment of a business model and joint venture concerning the build design and construction of a mass housing scheme sponsored by the National Housing Authority in Bangkok, Thailand.
• Advising on the establishment of a business model and joint venture concerning the build design and construction of a mixed commercial and residential facility in Ho Chi Minh City, Vietnam.
• Advising and negotiating contracts for the development and construction of housing units and related infrastructure in the Kingdom of Abu Dhabi, United Arab Emirates.
• Advising and negotiating contracts for the joint venture, development and hotel management of a chain of limited service hotels in India.
• Advising Malaysian companies or interests in structuring business arrangements and the establishment of appropriate foreign companies for the purposes of foreign outward investments or acquisition of companies and businesses.

C. COMMERCIAL / FINANCE

• Structuring and preparing options and derivative instruments for financing and underwriting property development projects in Malaysia and advising on compliance with regulatory authorities.
• Advising on a major land swap transaction between private enterprises and the State Government for the implementation of various State-sponsored projects which include the development and implementation of the various infrastructure programmes involving drainage and canals and the financing of the entire project.
• Advising on the financing of property development projects in Malaysia by foreign lenders and foreign equity participants.
• Advising on innovative structures to cater to the acquisition by high net worth individuals of tourism or resort related real estate projects and development.

D. PRIVATISATION AND CONCESSIONS / CONSTRUCTION AND SUB-CONTRACTS

• Advising concession companies on the privatisation of Malaysian highways, advising on the financial structuring of the concession and the execution and implementation of the concession agreement and related works.
• Drafting the regulations for sewerage charges and services for the privatisation of the Malaysian sewerage system.
• Advising on and preparing sub-contract agreement for various works in respect of a major privatised Malaysian highway concession.
• Advising and preparing sub-contract agreements for various works in respect of the construction of major office towers and buildings in Kuala Lumpur.
• Advising and preparing sub-contract agreements for various construction related works.
• Advising on the rehabilitation of a concession involving a privatised highway and restructuring of the same for financing purposes.
